  • Background - CC Registration Procedure.

    CC Registration comprises two stages:

    Reservation of the name of the CC (CK7)

    Registration of the Founding Statement (CK1)

    1. Application for Name Reservation

    The proposed name of the CC must first be approved before the CC registration can take place. The name reservation comprises the following:

    Confirmation by the Close Corporation Registration Office that the proposed CC name does not already appear on the Cipro register.

    Comparative names

    Offensive names

    The form CK7 is used for the Application for Reservation of Name, or Translated Form, or Shortened Form".

    The CK7 form can either be submitted online or, if not submitted online, the CK7 form must be completed in black ink in legible capital letters.

    A fee of R50.00 is paid to Cipro upon lodgement of the CK7.

    Once the CK7 is approved, the Form CK1 can be lodged for the CC registration

    As registered Cipro Agents, Shelf Company Warehouse lodges the name reservations electronically.

    As soon as the proposed name has been verified and approved, the CC Registration Office will email the approved CK7, indicating which name has been confirmed and reserved. The confirmation letter will also give the reasons for names not being approved.

    If none of the names is approved, the CK7 form is returned to the applicant for amendment.

    The applicant will be refunded for unsuccessful name reservation applications.

    The process can take anything from a few hours to 5 days, depending on the CC Registration Office's workload, whether their systems are up and running, whether they are on strike or on a go-slow, on course or attending a workshop.

    The approved CC name is valid for 2 months.

     

    2. Registration of Close Corporation Founding Statement (CK1)

    Once the proposed CCs name has been reserved, the registration for the Founding Statement (CK1) can begin.

    The "Close Corporation Founding Statement" (CK1) registration process begins with the completion and lodgement of which the cost of which is R100. The Close Corporation Founding Statement can either be completed manually or lodged electronically.

    Shelf Company Warehouse completes and submits the CC Founding Statement electronically.

    The following information is completed on the CK1:

    Name of member/s;

    Home address;

    Postal address;

    Member/s' contribution..

    The CK1 form consists of 3 pages:

    The CK1 form must be completed in black ink in legible capital letters and no amendments are allowed..

    The original CK1 form must be lodged at Close Corporation Registration Office in Pretoria. Copies are not accepted.

    the name and practice number of the Accounting Officer must be provided on Page 1 of the CK 1 form and an original signed letter from the Accounting Officer, confirming his/her consent to act for the CC must be lodged with the CK 1 forms.

    The Accounting Officer must be a registered member of one of the following institutions:

    The Institute of Administration and Commerce of Southern Africa

    Accountants and auditors registered in terms of the Public Accountants' and Auditors' Act, 1951.

    The Chartered Institute of Management Accountants.

    The Southern African Institute of Chartered Accountants.

    The Southern African Institute of Chartered Secretaries and Administrators.

    The Chartered Association of Certified Accountants.

    The Southern African Institute of Business Accountants.

    South African Institute of Professional Accountants (SAIPA).

    The registration process can take anything from 2 to 8 working days

    After registration, the registered Founding Statement (CK1 form) with registration number is emailed/posed to the applicant.

    Where Non South African citizens want to register as member/s of a CC, a letter must be submitted providing their land of origin, passport number and date of birth. The Non South African Citizens must also approach the Department of Home Affairs regarding work or immigration permits.

    Amendments to Founding Statement

    The close corporation must notify the Close Corporation Registration Office of any changes in respect of a registered CC ( relating to membership (new members being added, members resigning.

    These changes are completed on the "Amended Founding Statement" (CK2) form and submitted either electronically or manually with Cipro.

    The CK2 form consists of Part A and Part B.

    Part A contains information regarding the changing of the name of the CC or the principal business.

    Part B contains information regarding changes of membership details.

    Part C is used for the resignation of a member.

    Form CK2A is used for changes in respect of the Accounting Officer or registered address and a fee of R30.00 is paid to Cipro,

    No fee is paid for amendments to Part B.

    The CK2 form must also be completed in black ink, in legible block letters.

    The completed and signed CK2 form is then lodged with the Close Corporation Registration Office in Pretoria. The process can take anything from 10 to 45 days, depending on various factors, including the availability of the Close Corporation file.

    After registration, the Amended Founding Statement (CK2) is emailed to the applicant.

  • GUIDELINES FOR CHOOSING A CC OR COMPANY NAME:

  • You may not use a name implying that you are an attorney, notary or conveyancer unless you are one;

  • a business name may not include the words 'government', 'state', or 'United Nations';

  • the use of the word 'bank' is prohibited unless the person using either or both of those terms is registered as a deposit-taking institution;

  • unless the business is incorporated under the Companies Act, 1973, or some other law relating to companies or to a particular type of company (for example, the Banks Act, 1990), the word 'Limited' (Ltd) or 'Incorporated' (Inc) may not be used as the last word of its name.

  • Words which may not be used
  • The name used by a CC of company must not imply that the business enjoys government patronage, nor may the name be one prohibited by the Registrar of Companies on the basis that it is calculated to deceive or mislead the public, that it causes annoyance or offence to any person or class of persons, or that it is suggestive of blasphemy or indecency.

  • A name must not, in the opinion of the registrar, be 'undesirable'. (The Close Corporations Act, however, expressly provides that there is no duty on the registrar to consider the question.)

 

  • The following names are undesirable:

  • Names identical to, or nearly resembling names already registered;

  • Names containing descriptive words conveying an impression of a company's business that differs materially from the company's main business;

  • Words that occur in a name suggesting vast resources, such as 'International' and 'National', in a company that has only a small share capital;

  • Words in a name suggesting blasphemy or indecency or causing annoyance or offence to any person or class of persons;

  • Names suggesting government patronage, whether by the South African government or a foreign state;

  • A name consisting of fewer than three letters of the alphabet.

  • The use of a name by a company or close corporation which is similar to that of another business may amount to 'passing off', that is, a representation by someone that his or her business or merchandise is that of another or is associated with that of another.
